Buyer’s acceptance of delivery of Products or Services constitutes their assent to these Terms. These Terms, along with any related documents such as Quotations, Order Confirmations, and Invoices, form the complete agreement between Buyer and Seller. Any changes to these terms must be in writing and signed by an authorized representative of AGELESS PLAN RX, LLC.
15. Prices
All prices are subject to adjustment without notice based on Seller’s current pricing at the time of shipment. Any increases in transportation rates or additional costs will be borne by the Buyer.
16. Delivery
All orders for Products are contingent upon their successful production. AGELESS PLAN RX, LLC may subcontract Services to third parties as long as such arrangements do not affect Buyer’s rights. Time is not of the essence under these Terms, and Seller reserves the right to sell unused products after six months unless otherwise agreed.
17.Force Majeure
AGELESS PLAN RX, LLC is not liable for delays in delivery caused by events beyond its reasonable control, including but not limited to: War, Famine, Epidemic, Pandemic, Strikes, acts of God, labor disputes, government actions, and supply chain disruptions or any other circumstance which could not reasonably be foreseen or anticipated by AGELESS PLAN RX, LLC
18. Taxes
Buyer is responsible for all applicable taxes and duties, including but not limited to federal, state, local, and foreign taxes, on the sale or transportation of Products.
19. Warranty and Disclaimer
AGELESS PLAN RX, LLC warrants that its Products are manufactured per agreed specifications. To the greatest extent possible, the Company disclaims any warranty, including any express or implied warranties of merchantability or fitness for particular purpose.
20. Confidentiality
All proprietary information, including designs, drawings, and proposals provided by AGELESS PLAN RX, LLC, must remain confidential and cannot be shared or used for competitive purposes.
21. Limitation of Liability
Except in cases of gross negligence or willful misconduct, AGELESS PLAN RX, LLC’s liability is limited to the purchase price of the Products or Services. AGELESS PLAN RX, LLC is not liable for indirect, special, or consequential damages.
22. Intellectual Property
a. All intellectual property created by AGELESS PLAN RX, LLC remains the property of AGELESS PLAN RX, LLC unless explicitly transferred in writing.
b. AGELESS PLAN RX, LLC retains ownership of its proprietary technologies and methods used in the development or improvement of Products.
23. Dispute Resolution
All disputes are governed by the laws of Illinois and must be resolved in courts located in Illinois. Buyer and Seller waive rights to a jury trial and any claims for punitive damages.
24. Indemnification
Buyer agrees to indemnify and hold harmless AGELESS PLAN RX, LLC from any claims, damages, or liabilities resulting from the use of Products or Services in violation of these Terms or applicable laws.
25. Returns and Termination
Products may not be returned without prior written authorization from AGELESS PLAN RX, LLC, and such authorization shall be granted by AGELESS PLAN RX, LLC in it’s sole discretion.
26. Miscellaneous
a. Severability: If any provision is found invalid, the remaining provisions remain in effect.
b. Waiver: Seller’s failure to enforce any term does not constitute a waiver of its rights.
